Programme are also collectively referred to in this document as, “the Programme” and includes but is not limited to all programmes contained within it and includes but is not limited to all intellectual property rights, descriptors, elements, aspects and factors mentioned within the Terms of this document.

ZIVRAP Limited is the name of the company that runs and owns all rights to all Programme found on this website including but not limited to intellectual property rights of the Programme.

“Internet user” is any person or entity accessing the websites referring to the Programme.

“student” of the Programme is any person or entity who engages in the educational services provided by the programme in any way and for the avoidance of doubt this includes seeking any professional opinion from the company or the Programme in any form or manner whatsoever. For the avoidance of doubt, enrolment onto the programme is not necessary in order to be considered a student of the Programme. For the avoidance of doubt parents and guardians are included are considered to be engaged in educational services if the student is their child or guardian.

Any term included in this document is referred to as, “Term” and all terms contained within this document are collectively are referred to as, “Terms”. All parentheses are included within the Terms of this document.

The Programme including but not limited to its construction, structure, its contents, techniques employed and the professional opinions of its founders, tutors, trainers and students are the Intellectual Property which for the avoidance of doubt includes but is not limited to the trademarks and copyright of ZIVRAP limited (the company that owns the ELOCUTE! Programme) and may not be copied, duplicated, replicated, reproduced, distributed or used in any way whatsoever without the express and signed permission of ZIVRAP limited and such permission has not been granted.

All programmes and their contents as well as but not limited to slogans, logos, catchphrase, nomenclature, branding and or recognisable or attributable paraphernalia or any creations of the ELOCUTE! Programme and ZIVRAP Limited and any associated programmes are the Intellectual Property which for the avoidance of doubt includes but is not limited to the trademarks and copyright of ZIVRAP limited (the company that owns and runs the ELOCUTE! Programme) and may not be copied, duplicated, replicated, reproduced, distributed or used in any way whatsoever without the express and signed permission of ZIVRAP limited and such permission has not been granted.

At all times, ZIVRAP Limited is and remains the owner of all intellectual property in any and all aspects of and pertaining to but not limited to the Programme and in any Programme materials, techniques, content etc that may be provided, used or created in the course of the delivery of the Programme.  Neither the Programme nor any Programme materials, nor any part of them (including but not limited to any intellectual property described in this document or any interviews or any teaching sessions) may be reproduced, stored in a retrieval system or transmitted or distributed in any form or means for any purpose whatsoever without the prior written and signed permission and consent of ELOCUTE! and ZIVRAP Limited and such permission has not been granted.

The student may not modify, copy, reproduce, re- publish, upload, post, transmit or distribute in any way any aspect of the Programme including but not limited to its intellectual property, content and materials. Use of any aspect of the Programme not expressly permitted in these Terms is strictly prohibited and will constitute an infringement of either the ELOCUTE! Programme or ZIVRAP Limited’s copyright or the ELOCUTE! Programme or ZIVRAP Limited’s other intellectual property rights, and/or the copyright or other intellectual property rights of ELOCUTE! Programme or ZIVRAP Limited’s licensors.

For the avoidance of doubt enrolment on the programme and booking of an introductory session is only for the purpose of assistance with personal education and is for personal educational use only and is not to be used at anytime for any other gain whether personal, monetary or otherwise.

At all times, ELOCUTE! and ZIVRAP Limited or its licensors remains the owner of the intellectual property in the Programme and in any Programme materials that may be provided to you in the course of the delivery of the Programme (including but not limited to any content provided electronically). Neither the Programme nor any Programme materials, nor any part of them, may be reproduced, stored in a retrieval system or transmitted in any form or any means without the prior written and signed permission of ELOCUTE! and ZIVRAP Limited. All intellectual property rights created by you during your studentship with ELOCUTE! and ZIVRAP Limited and relating to your studies (including but not limited to exam scripts, assessments and projects completed by you) will be the property of ELOCUTE! and ZIVRAP Limited from the creation and you hereby assign any present and future right, title and interest in and to such intellectual property rights to ELOCUTE! and ZIVRAP Limited. At the request and expense of ELOCUTE! and ZIVRAP Limited, you will execute promptly all such documents and do promptly all such things as ELOCUTE! and ZIVRAP Limited may deem necessary or desirable to perfect ELOCUTE! and ZIVRAP Limited's title to such intellectual property rights.

All intellectual property rights created by the ELOCUTE! The programme, its tutors, its trainers or its students at any time and relating to this will be the property of ELOCUTE! and ZIVRAP Limited from creation and any present and future right, title and interest in and to such intellectual property rights are assigned to the ELOCUTE! Programme and ZIVRAP Limited. At the request of the ELOCUTE! Programme and ZIVRAP Limited, the student or Internet user will execute promptly all such files, documents, images etc. and do promptly all such things as ZIVRAP Limited may deem necessary or desirable to perfect ZIVRAP Limited's title to such intellectual property rights. For the avoidance of doubt, any and all information and contents provided or created in the course of the use of the websites associated with the Programme or the course of the studentship (a student being defined at 1.4 of this document) are and will continue to remain the intellectual property of ZIVRAP Limited.

In consideration of receipt by ELOCUTE! and ZIVRAP Limited of the Programme Fees, ZIVRAP Limited grants to you a non- exclusive, non-transferable licence to use the Programme materials for the sole purpose of the study.

Save as expressly set out in these Terms, you may not modify, copy, reproduce, re-publish, upload, post, transmit or distribute in any way any of the Programme materials. Use of the Programme materials not expressly permitted in these Terms is strictly prohibited and will constitute an infringement of either ELOCUTE! and ZIVRAP Limited’s copyright or ELOCUTE! and ZIVRAP Limited’s other intellectual property rights, and/or the copyright or other intellectual property rights of ELOCUTE! and ZIVRAP Limited’s licensors.

These Terms are to be considered automatically agreed to by the student by use of or engagement with the Programme.

Zivrap Limited does not permit any any material found on the websites or in teaching materials associated with the Programme to be copied, duplicated, replicated, reproduced, distributed or used in any way whatsoever.

Any filming or recording of the Programme, including but not limited to for the avoidance or doubt covert and or undercover filming or recording at any time whatsoever is strictly prohibited.

The Programme and ZIVRAP limited reserve the right to withdraw any permissions granted by this document at any time.

Breach by the student and guardian of any term in this document will result in legal action for damages and or specific performance and or any other remedy that is agreed by ZIVRAP Limited.
